Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the BYN mobile application ("App"), website ("Website"), and related services (collectively, the "Services"), operated by Chilowattora Srl ("BYN", "we", "our", or "us").

By creating an account or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. The Service

BYN is a digital platform that allows users to claim, collect, and manage unique numerical identities ("Digital Identities"). Each Digital Identity is a unique number within the BYN ecosystem, associated with a user's account.

The platform offers:

Claiming and managing numerical Digital Identities
Building and showcasing personal collections
Setting a Main Identity visible to other users
Social interactions such as likes and profile views
Discovery features to explore identities and collections
Premium features available through in-app purchases

2. Eligibility

To use the Services, you must:

Be at least 16 years of age, or the minimum age required by applicable law in your jurisdiction
Have the legal capacity to enter into binding agreements
Not be prohibited from using the Services under applicable law

By using the Services, you represent and warrant that you meet these requirements. If you are under the age of majority in your jurisdiction, you may only use the Services with the involvement and consent of a parent or legal guardian.

3. Account Registration

To access most features of BYN, you must create an account. When registering, you agree to:

Provide accurate, complete, and current information
Keep your account credentials confidential and not share them with third parties
Notify us immediately of any unauthorized access or suspected breach at hello@buyyournumber.app
Be responsible for all activity that occurs under your account

You may register using an email address or through supported third-party sign-in providers (Apple, Google). BYN is not responsible for any loss or damage arising from your failure to maintain the confidentiality of your credentials.

4. Digital Identities

What is a Digital Identity

A Digital Identity is a unique numerical identifier within the BYN ecosystem. Each number can be claimed by one user at a time and is associated with that user's account for as long as they hold it according to platform rules.

Claiming

Users may claim Digital Identities subject to availability and platform rules. Claiming a Digital Identity does not confer ownership of the underlying number in any legal, intellectual property, or real-world sense. Digital Identities are virtual platform-based records governed exclusively by these Terms.

Rarity and Classification

BYN may apply automated classification systems to assign rarity scores or categories to Digital Identities based on numerical properties. These classifications are provided for informational and entertainment purposes only and carry no monetary, legal, or guaranteed value. Rarity classifications may change over time as the platform evolves.

Non-Transferability

Digital Identities are personal to your account. Unless expressly permitted by platform features, Digital Identities may not be sold, transferred, gifted, or otherwise assigned to another user or third party outside of BYN's official platform mechanisms.

No Guarantee of Availability

BYN will not arbitrarily remove a Digital Identity from a user account. A Digital Identity may be modified, reclaimed, or retired only where required by law, technical necessity, fraud prevention, account termination, violation of these Terms, or other legitimate operational reasons communicated to the user where reasonably possible.

Nature of Digital Identities

A Digital Identity grants the user an exclusive right of registration and use within the BYN ecosystem only, subject to these Terms.

Digital Identities do not constitute:

Ownership of a number outside the BYN platform
Intellectual property rights of any kind
Financial products or instruments
Securities of any nature
Investments
Cryptocurrencies
Non-fungible tokens (NFTs)
Legal title to any mathematical concept or numerical sequence

Future Transfer Features

BYN may introduce transfer, gifting, marketplace, or trading features in future versions of the Services. Any such functionality shall be governed by additional terms published at the time of release.

5. User Accounts and Collections

Unless otherwise permitted by BYN, users may maintain only one personal account. Creating multiple accounts to circumvent platform rules, obtain unfair advantages, or abuse promotional offers is prohibited.

You may organize your claimed Digital Identities into collections and designate a Main Identity for public display. Collections and profile information you choose to make public will be visible to other users of the platform.

Username Policy

Usernames must not infringe third-party trademarks, impersonate other individuals or entities, or violate applicable law. BYN reserves the right to reclaim, modify, or suspend usernames that violate these requirements, without prior notice and without liability.

Account Inactivity

BYN reserves the right to suspend or remove accounts that have been inactive for an extended period, following reasonable advance notice to the registered email address. Digital Identities associated with inactive accounts will be managed in accordance with the operational rules of the BYN platform.

6. Purchases and Premium Features

In-App Purchases

BYN offers premium features, content, and capabilities available through in-app purchases processed by Apple App Store or Google Play Store. All purchases are subject to the applicable store's terms and payment policies.

Pricing

Prices for premium features are displayed within the App at the time of purchase and may vary by region. BYN reserves the right to change pricing at any time. Price changes will not affect purchases already completed.

No Refunds

All purchases are final and non-refundable, except as required by applicable law or as provided under the refund policies of Apple Inc. or Google LLC. BYN does not directly process refunds for purchases made through Apple App Store or Google Play Store. Requests for refunds must be submitted directly to the respective store.

Entitlements

Premium entitlements are linked to your BYN account and managed through RevenueCat Inc. Entitlements are non-transferable and may not be shared across accounts.

Free Features

BYN offers a free tier with limited features. The scope of free features may change over time at BYN's discretion. We will communicate material changes to free tier availability through the App or Website.

7. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

Use the Services for any illegal, fraudulent, or unauthorized purpose
Attempt to gain unauthorized access to any part of the platform or another user's account
Use automated tools, bots, scripts, or scrapers to interact with the Services without our express written permission
Manipulate, abuse, or exploit platform features to gain unfair advantages
Harass, abuse, or harm other users through platform interactions
Upload, transmit, or distribute content that is unlawful, offensive, defamatory, or infringes third-party rights
Reverse engineer, decompile, or attempt to extract the source code of the App
Circumvent, disable, or interfere with security or access control features of the Services
Create multiple accounts to evade suspensions or abuse platform rules
Publish personal or sensitive information about other individuals without their consent

BYN reserves the right to investigate violations and take appropriate action, including suspension or termination of accounts.

8. User Generated Content

You may publish content through the Services, including usernames, profile images, and public collection information ("User Content"). By publishing User Content, you grant BYN a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, and distribute such content solely for the purposes of operating and promoting the Services.

You represent and warrant that:

You own or have the necessary rights to publish the User Content
The User Content does not violate any applicable law or third-party rights
The User Content does not contain personal or sensitive information about third parties without their consent

BYN does not endorse or assume any responsibility for User Content published by users. We reserve the right to remove User Content that violates these Terms or applicable law.

9. Feedback and Suggestions

You may voluntarily submit ideas, suggestions, feedback, or comments regarding the Services ("Feedback"). By submitting Feedback, you grant BYN a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and incorporate such Feedback into the Services or any other products or services, without any obligation of compensation, attribution, or confidentiality to you.

10. Intellectual Property

All content, software, design, trademarks, trade names, logos, and technology comprising the Services are the exclusive property of Chilowattora Srl or its licensors and are protected by applicable intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in the Services or BYN's intellectual property, other than the limited right to use the Services in accordance with these Terms.

The name "BYN", "Buy Your Number", and associated logos are trademarks proprietary to Chilowattora Srl.

11. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge that you have read and understood our Privacy Policy.

12. Third-Party Services

The Services integrate or link to third-party services and platforms, including Apple App Store, Google Play, Supabase, and RevenueCat. These third-party services are governed by their own terms and privacy policies. BYN is not responsible for the practices, content, or availability of third-party services.

Apple-Specific Terms

Apple Inc. is not a party to these Terms and is not responsible for the Services or their content. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.

In the event of any failure of the App to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be BYN's sole responsibility.

Apple and Apple's subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

13. No Financial Expectations

Digital Identities are provided for collection, entertainment, personalization, and self-expression purposes.

BYN does not guarantee any future demand, popularity, rarity, resale value, or appreciation of any Digital Identity.

Users should not purchase Digital Identities with the expectation of financial gain. The perceived value of a Digital Identity within the platform is subjective and may fluctuate, decrease, or disappear entirely without compensation.

No Investment Purpose

Users acknowledge that Digital Identities are acquired for personal enjoyment, collection, identity, and self-expression purposes only.

BYN does not promote, encourage, or facilitate speculative investment activity.

14. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

BYN does not warrant that:

The Services will be uninterrupted, error-free, or secure
Any defects will be corrected
The Services or servers are free of viruses or harmful components
Digital Identities will retain any specific availability, rarity classification, or perceived value over time

Digital Identities and platform features are provided for entertainment and personal expression purposes. They do not constitute financial instruments, investments, or assets of monetary value.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Chilowattora Srl and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or loss of Digital Identities, arising out of or in connection with your use of the Services.

Users acknowledge that the perceived rarity, desirability, popularity, or value of a Digital Identity may change over time and that BYN bears no liability for such changes.

In any case, BYN's total liability to you for any claim arising out of or related to these Terms or the Services shall not exceed the amount you paid to BYN in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations may apply only to the extent permitted by law.

16. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Chilowattora Srl and its directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

Your use of the Services in violation of these Terms
Your User Content
Your violation of any applicable law or regulation
Your infringement of any third-party rights, including intellectual property rights

17. Suspension and Termination

By BYN

BYN reserves the right to suspend or terminate your account and access to the Services at any time, with or without notice, if:

You violate these Terms or any applicable law
Your account is involved in fraudulent, abusive, or harmful activity
Continued access poses a risk to the platform, other users, or third parties
BYN discontinues the Services in whole or in part

By You

You may terminate your account at any time through the account settings within the App. Upon termination, your right to use the Services will immediately cease. Digital Identities associated with your account will be managed in accordance with the operational rules of the BYN platform.

Effect of Termination

Termination does not entitle you to any refund of purchases made prior to termination, except as required by applicable law. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law) shall so survive.

Digital Identity Status After Account Deletion

Unless otherwise specified by BYN at the time of deletion, Digital Identities associated with a deleted account may be released, reassigned, archived, or otherwise managed according to the operational rules then in effect. BYN will not be liable to the user or any third party for any modification to the status of Digital Identities following account deletion.

Service Discontinuation

BYN may discontinue the Services at any time. Where reasonably possible, BYN will provide advance notice of a permanent discontinuation. Users acknowledge that Digital Identities exist solely within the BYN ecosystem and may cease to be available if the Services are permanently discontinued.

18. Modifications to the Services

BYN reserves the right to modify, update, suspend, or discontinue any part of the Services at any time, including features, pricing, and the availability of Digital Identities. We will make reasonable efforts to communicate material changes in advance through the App or Website.

Continued use of the Services after any modification constitutes your acceptance of the updated terms.

Experimental Features

BYN may from time to time offer beta, preview, or experimental features as part of the Services. Such features are provided on an experimental basis and may be modified, suspended, or discontinued at any time without notice. Experimental features may not function as intended and are not subject to any warranty or support commitment.

19. Force Majeure

BYN shall not be liable for any failure or delay in performance of the Services resulting from causes beyond its reasonable control, including but not limited to acts of God, internet or telecommunications outages, failures of third-party service providers (including Supabase, Apple, or Google), cyberattacks, strikes, government actions, pandemics, or other events of force majeure.

In such circumstances, BYN's obligations under these Terms shall be suspended for the duration of the event, and BYN will make reasonable efforts to minimize the impact on users and restore the Services as soon as practicable.

20. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Italy, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts of Bergamo, Italy, unless mandatory consumer protection laws in your jurisdiction provide otherwise.

If you are a consumer resident in the European Union, you may also submit a complaint through the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

Nothing in these Terms limits or excludes any rights you may have as a consumer under applicable mandatory law, including applicable European Union consumer protection legislation.

21. General Provisions

Entire Agreement

These Terms, together with the Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and BYN with respect to the Services and supersede all prior agreements, representations, and understandings of any kind.

Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a competent court or authority, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed from these Terms. The remaining provisions shall continue in full force and effect.

Waiver

BYN's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be made in writing to be effective.

Governing Language

These Terms are drafted in English. In the event that these Terms are translated into other languages, the English version shall prevail in case of any conflict or inconsistency between versions.

22. Changes to these Terms

We may update these Terms from time to time. Any material changes will be communicated through the App, Website, or by email where appropriate. We will provide reasonable notice of material changes where required by applicable law. The updated date at the top of this page will always reflect when the Terms were last revised.

Continued use of the Services following the effective date of any update constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.
